Terms and Conditions

This site is owned and run by My Goods Locker which is a trading style of Yellowthread Limited. By using this site you agree to be bound by these terms and conditions and by any other terms and conditions, rules or guidelines, which appear on the My Goods Locker site.

 

Definitions

My Goods Locker is a trading style of Yellowthread Limited. Yellowthread Limited is registered in England – Registration No. 04807103. My Goods Locker is hereafter referred to as ‘MGL’. The Services provided by MGL are hereafter referred to as ‘Services’. "Customer" is a MGL client, customer or subscriber who has entered into a usage, managed service or licence Agreement to employ the Services, which has been formally approved and subscribed to for the appropriate period.

 

Omissions and Amendments

MGL may amend these terms and conditions from time to time without notice - please check for changes on a regular basis. MGL cannot be held responsible or liable for errors or omissions within these terms and conditions.

 

Privacy Policy

Please refer to the MGL Privacy Policy, for more information about how MGL will use the information the customer provides on registration.

 

Security

MGL undertakes to provide secure site status, provided by an independent reputable provider, to the Services. The Customer (and their representatives, if applicable within the Agreement) will be issued with a user name and password to access the on-line administration area of the Services, where applicable and appropriate, and will be responsible for the security of the issued user name and password. MGL will not be liable for any unauthorised use of the Customer's account.

 

Data Protection

Yellowthread Limited is registered with the Data Protection Registrar in England under the Data Protection Act 1998: Registration No. Z8167516.

 

The administration areas of the MGL site are housed on secure servers and protected by C-O-M-O-D-O® AUTHENTIC SITE® and GeoTrust® security.

 

Intellectual Property Rights

MGL site. All Branding, Logos, Associated Logos, Software, Sites, Platforms and Services contained within the MGL site material are the property of Yellowthread Limited and /or MGL and are protected by copyright and other intellectual property rights. MGL grants the Customer a non-transferable licence to use the site for the duration of the Customer Agreement with MGL. Customers will use the Software and any other equipment and materials supplied by MGL solely for the purposes of operating the MGL site. No content can be modified, performed, published or transferred to anyone else or used for any commercial purpose (unless otherwise stated on the site). Except to the extent permitted by applicable law, the Customer, or their representative, must not disassemble, de-compile, reverse engineer or otherwise break or attempt to break encryption protecting any content downloaded from the MGL site.

 

Service Maintenance

MGL reserves the right to shut down Services for routine maintenance. Scheduled shutdowns will not have a duration exceeding 4 hours and will take place as necessary between 0100 and 0500 hours. If emergency maintenance is required, MGL reserves the right to shut down the Services without notice or compensation, albeit MGL will endeavour to notify the Customer, where possible.

 

Acceptable Use Policy

The Customer must not use the Services to record data or send communications, letters, emails, faxes, text messages or any other media provided by the Services with content that is obscene, offensive, threatening, libellous, racist or otherwise objectionable. Utilising the Services for subversive, illegal or immoral activities is also strictly prohibited. MGL reserves the right to suspend or terminate the Agreement of any Customer who is found to be in breach of this policy and report any such breach to an appropriate enforcement agency.

 

Fair Usage Policy

MGL does not put fixed limits on the usage and size of files. It does wish to share the costs of the service equally across all of the MGL community so will notify a Customer if their usage becomes excessive and disproportionate to the rest of the community. If the usage does not decrease after a warning the Agreement will be terminated without refund.

 

Links to Other Sites

MGL has not approved or checked any third party sites linked to the Services or MGL site and it is not responsible or liable in any way for their content, function, compliance and availability. The use of such third party sites will be subject to the terms and conditions of those sites.

 

Payment, Service Charges, Taxation and Termination

Standard Rate Charges – All charges are publicly advertised. Each Customer will be made fully aware of MGL site subscription and use charges prior to the acceptance by the Customer and the commencement of the Agreement. MGL reserves the right to increase its charges, on each renewal of the Customer's Agreement.

 

Offer Code and Subsidised Charges – All charges are advised to the Customer by the entity supporting the Offer Code and Subsidised Charges. Each Customer will be made fully aware of these charges prior to acceptance by the Customer and the commencement of the Agreement. MGL reserves the right to revert to Standard Rate Charges on the renewal of the Customer's Agreement.

 

Subscription Fees – Subscription fees and other charges are payable online by Credit or Debit Card through the MGL site. On full payment, the Services will be made available to the Customer.

 

Refunds – MGL will refund the Customer’s fees if notified by email or in writing within seven days of registration that the Customer wishes to cancel. MGL will refund within 15 days of receipt of request. The Customer’s account will be closed and all data destroyed upon receipt of the cancellation notice.

 

Renewal and Renewal Date – Subscription fee reminders will be advised to the Customer 28 days prior to the Agreement end date and fees are payable by Credit or Debit Card through the MGL site. The renewal option will remain for 28 days after the Agreement renewal date and if renewed the new Agreement start date will commence from the expiry of the previous Agreement. The renewal option will not be available after this period. In the instance of non renewal, all of the Customer's data will be destroyed 29 days after the renewal date.

 

VAT – fees include VAT at the current rate. MGL reserves the right to reflect any changes in VAT in the fees payable. Yellowthread VAT Reg.No. 817723911.

Agreement Period

Standard Agreement Period – One calendar year.

 

Liability

MGL shall not be liable to the Customer for loss or damage arising out of or in connection with the use of the MGL site and Services including but not limited to:-

 

  • any loss of profits, loss of earnings, loss of anticipated earnings, goodwill or revenue
  • any loss or corruption of data; or
  • any indirect or consequential loss
  •  

    The inclusion by the subscriber of contents within any area of the MGL sites does not constitute cover by the MGL Customer's insurance company.

     

    MGL does not validate items marked with a Lost or Stolen status by the MGL Customer and accepts no liability for any deliberate or accidental misrepresentation of the status.

     

    MGL can accept no responsibility for any failure to notify any user of any manufacturer recall or incorrect information therein or the level of information that is recorded against applicable items.

     

    Third Party Services

    MGL accepts no liability for the failure of third party Services and / or errors in their delivery.

     

    Force Majeure

    All parties to these terms and conditions will be exempted, subject to reasonable notice from these conditions in the event of force majeure. Circumstances of force majeure shall be deemed to include, inter alia, the actions of government authorities to take action, new or amended legislation, retirement of personnel, illness or other reduction in work capacity, death, labour market conflicts, blockades, civil unrest, lightning, fire, flooding, loss or destruction of data or property of material significance, fuel shortages, defects or delays in delivery of goods and Services by suppliers.

     

    Severance

    If in whole or any part of any provision of these terms and conditions is found to be unlawful, void or unenforceable, the remainder of such provision(s) shall continue in full force and effect.

     

    Law and Jurisdiction

    These terms and conditions are governed by English law and the English courts shall have exclusive jurisdiction.
